Terms & Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the services provided by Quantum Connect Labs (“QCL”, “we”, “our”, “us”), a company based in Canada. By accessing our website or purchasing our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By engaging QCL’s services, booking a strategy call, or using our website, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please do not use our services.

2. Services

QCL provides AI agent deployment, configuration, and ongoing management services for service businesses. Services are described on our website and in your service agreement. Specific deliverables, timelines, and scope are confirmed in writing prior to commencement.

3. Payment Terms

• AI Agent Package: $3,000 one-time setup fee + $1,000/month subscription
• Website + AI Agent Package: $5,000 one-time setup fee + $1,000/month subscription
• Chief AI Officer Add-On: $1,500 one-time setup fee + $1,000/month (requires active QCL package)
• A 3-month minimum commitment applies to all subscriptions. After 3 months, billing is month-to-month.
• All fees are in Canadian dollars unless otherwise specified. Setup fees are due before commencement. Subscriptions are billed monthly in advance via Stripe.
• Expansion agents beyond 20 per subscription incur a one-time $500 setup fee per agent, plus custom monthly pricing.

4. 14-Day Free Pilot

Both core packages include a 14-day free pilot period. During this period, your AI agents are deployed and operational. If you are not satisfied at the end of the pilot, contact us before the pilot concludes to avoid billing. Monthly subscription billing begins automatically after the pilot period unless you notify us otherwise.

5. Intellectual Property

QCL retains all intellectual property rights in the AI agents, configurations, frameworks, and systems it develops. Your subscription grants you a non-exclusive licence to use the deployed agents during your active subscription period. Upon cancellation, access to agents and systems ceases.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. QCL will not share your business information with third parties except as required to deliver services or comply with legal obligations.

7. Warranties and Disclaimer

QCL warrants that it will deliver services with reasonable care and skill. We do not guarantee specific outcomes, revenue increases, lead conversion rates, or other business results. AI agents are tools that augment your business; results depend on many factors outside our control.

8. Limitation of Liability

To the maximum extent permitted by Canadian law, QCL’s total liability for any claim arising from or related to these Terms or our services shall not exceed the total fees paid by you in the 3 months preceding the claim. QCL is not liable for indirect, consequential, incidental, or punitive damages.

9. Indemnification

You agree to indemnify and hold QCL harmless from any claims, damages, or expenses arising from your misuse of our services, your violation of these Terms, or any content you provide to us.

10. Governing Law

These Terms are governed by the laws of Canada. Any disputes shall be resolved in the appropriate courts of Canada, and both parties consent to the jurisdiction of such courts.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or prominent notice on our website. Continued use of our services after the effective date of changes constitutes acceptance.

12. Cancellation Policy

• 30 days written notice is required to cancel, sent to info@quantumconnectlabs.com or via the billing portal
• You retain access to your agents until the end of your paid-through period
• No refunds or pro-ration of setup fees or subscription payments
• A data export of your agent configurations is available upon request
• QCL reserves the right to terminate service for non-payment or material breach with 14 days notice

13. Messaging Policy — SMS & Email

Consent: By providing your phone number or email address, you consent to receive service-related communications from QCL. Marketing messages are sent only with your express consent, in compliance with Canada’s Anti-Spam Legislation (CASL).

What we send:

• Service-related SMS: missed-call follow-up texts, appointment booking links, confirmations, and reminders sent by your deployed AI agents on your behalf
• Marketing communications: updates, offers, and information about QCL services (with consent only)

Opt-out: Reply STOP to any SMS to unsubscribe from that message type. To withdraw email consent, click unsubscribe in any email or contact us directly. Message and data rates from your carrier may apply.

Quiet hours: AI agent communications sent on your behalf respect applicable quiet-hour regulations and your configured sending windows.
